1. Acceptance of Terms
Welcome to Robo Team Hub! These Terms of Service ("Terms") constitute a legally binding agreement between you and Lumikraft AI LLC, a California limited liability company ("Company," "we," "our," or "us"), operating the Robo Team Hub platform, governing your access to and use of our platform, website, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Eligibility and Account Registration
2.1 Age Requirements
You must be at least 13 years of age to use the Service. If you are under 13, you may not create an account or use the Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you represent that you have your parent's or legal guardian's permission to use the Service, and that they have read and agreed to these Terms.
2.2 Account Registration
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information to keep it accurate and current
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
You may not create an account using false information or on behalf of someone else without permission. We reserve the right to suspend or terminate accounts that violate these requirements.
2.3 Account Types
The Service offers different account types and roles, including team administrators, team members, and individual users. Different features and permissions may be available depending on your account type and role.
3. Use of the Service
3.1 License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or team's internal robotics activities.
3.2 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Upload or transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers
- Use the Service to harass, abuse, or harm others
- Collect or harvest personal information without consent
- Use automated systems (bots, scrapers) without our permission
- Impersonate any person or entity
- Use the Service for any commercial purpose without our authorization
- Reverse engineer, decompile, or disassemble any part of the Service
3.3 Team Collaboration
If you create or join a team:
- You agree to collaborate respectfully with team members
- Team administrators have the right to manage team membership and content
- Content shared within a team may be visible to all team members
- You are responsible for obtaining necessary permissions for any content you share
- Each team is limited to 15 members by default. Teams requiring a higher limit may contact support to request an increase
4. User Content
4.1 Your Content
You retain ownership of all content you create, upload, or share through the Service ("User Content"), including but not limited to projects, tasks, engineering notebooks, meeting records, photos, videos, and comments.
4.2 License to Us
By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute your User Content solely for the purposes of:
- Providing and improving the Service
- Enabling features you request (such as team collaboration)
- Complying with legal obligations
We will not use your User Content for any other purpose without your consent. We do not sell or share your User Content with third parties for their marketing purposes.
4.3 Responsibility for Content
You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that:
- You own or have the necessary rights to your User Content
- Your User Content does not violate any third-party rights
- Your User Content complies with these Terms and applicable laws
- You have obtained all necessary permissions, licenses, and consents
4.4 Content Moderation
We reserve the right, but have no obligation, to monitor, review, or remove User Content that violates these Terms or is otherwise objectionable. We may remove or disable access to User Content at our discretion.
4.5 Backup and Data Management
While we implement backup procedures, you are responsible for maintaining your own backups of important User Content. We recommend regularly exporting your data using our data export feature.
5. Intellectual Property Rights
5.1 Our Rights
The Service, including its design, features, functionality, text, graphics, logos, icons, images, audio, video, software, and all other content and materials (excluding User Content), is owned by Lumikraft AI LLC and is protected by copyright, trademark, and other intellectual property laws.
"Robo Team Hub" and our logo are trademarks of Lumikraft AI LLC. You may not use our trademarks without our prior written permission.
5.2 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.
6. Third-Party Services
The Service uses third-party services for authentication (Clerk), database and storage (Supabase), and email communications (Brevo). Your use of the Service is also subject to the terms and privacy policies of these third-party providers.
The Service may contain links to third-party websites, applications, or resources. We are not responsible for the availability, content, or practices of third-party services. Your use of third-party services is at your own risk.
7. Subscription Plans and Pricing
7.1 Subscription Tiers
The Service offers the following subscription tiers:
- Free Tier: Basic access to personal task management, personal calendar, and tournament search features. No payment required.
- Monthly Subscription ($9.99/month): Full access to all features including team creation, project management, practice tracking, research tools, and team collaboration features.
- Annual Subscription ($99.99/year): Full access to all features with a discounted annual rate (equivalent to approximately 17% savings compared to monthly billing).
We reserve the right to modify, add, or remove subscription tiers at any time. Features included in each tier may change without notice.
7.2 Billing and Payment
By subscribing to a paid plan, you agree to the following:
- You authorize us (and our payment processor, Stripe) to charge your designated payment method for all subscription fees
- You are responsible for providing accurate, current, and complete payment information
- You are responsible for all charges incurred under your account, including applicable taxes
- Monthly subscriptions are billed on the same date each month (or the closest available date if that date does not exist in a given month)
- Annual subscriptions are billed on the anniversary of your subscription start date
- All fees are quoted and charged in United States Dollars (USD)
- You are responsible for any currency conversion fees charged by your bank or payment provider
7.3 Automatic Renewal
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL BEFORE THE RENEWAL DATE.
By subscribing, you expressly acknowledge and agree that:
- Your subscription will automatically renew for successive periods of the same duration as your initial subscription term
- Your payment method will be automatically charged at the then-current subscription rate plus any applicable taxes
- You must cancel your subscription before the renewal date to avoid being charged for the next billing period
- We are not obligated to provide reminders before automatic renewal charges
- It is your sole responsibility to monitor your subscription status and renewal dates
7.4 Cancellation Policy
You may cancel your subscription at any time through your account settings (Settings → Billing) or by contacting us at support@roboteamhub.com. Upon cancellation:
- Your subscription will remain active until the end of your current paid billing period
- You will retain access to paid features until the end of your current billing period
- After the billing period ends, your account will be downgraded to the Free tier
- No partial refunds or prorated credits will be issued for unused time in your current billing period
- Cancellation must be completed before your next billing date to avoid charges for the subsequent period
- Cancellation requests made after a charge has been processed will not result in a refund for that billing period
7.5 Refund Policy
ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE EXCEPT AS EXPLICITLY STATED BELOW OR AS REQUIRED BY APPLICABLE LAW.
You acknowledge and agree that:
- All payments are final and non-refundable
- No refunds will be provided for partial months, partial years, or unused features
- No refunds will be provided if you choose not to use the Service during your subscription period
- No refunds will be provided for downgrading to a lower-priced plan or the Free tier
- No refunds will be provided for service interruptions caused by factors outside our reasonable control
- No refunds will be provided if your account is terminated due to violation of these Terms
Exceptions: We may, at our sole discretion, provide refunds in the following limited circumstances:
- Duplicate charges resulting from technical errors on our part
- Extended service outages lasting more than 72 consecutive hours caused solely by our systems
- Where required by applicable consumer protection laws in your jurisdiction
Any refund request must be submitted within 7 days of the charge and is subject to our review and approval.
7.6 Price Changes
We reserve the right to change subscription prices at any time. Price changes will be handled as follows:
- We will provide at least 30 days' notice before any price increase takes effect
- Notice will be sent to the email address associated with your account
- Price increases will apply to your next billing cycle after the notice period
- Your continued use of the Service after a price change constitutes acceptance of the new price
- If you do not agree to a price change, you must cancel your subscription before the new price takes effect
- We are not obligated to maintain any particular price for any length of time
- Promotional or introductory prices are temporary and subject to change at any time
7.7 Failed Payments
If a payment fails:
- We may attempt to charge your payment method multiple times over a grace period
- We may suspend access to paid features until payment is successfully processed
- We may downgrade your account to the Free tier if payment cannot be collected
- We may terminate your account after repeated payment failures
- You remain responsible for any uncollected fees and may be subject to collection actions
- We are not responsible for any service interruptions resulting from payment failures
7.8 Free Trial
If we offer a free trial:
- Free trials are limited to one per person, household, and payment method
- We reserve the right to determine trial eligibility at our sole discretion
- A valid payment method may be required to start a free trial
- Unless you cancel before the trial ends, your subscription will automatically begin and you will be charged
- We may modify or terminate free trial offers at any time without notice
- Abuse of free trials (including creating multiple accounts) may result in account termination
7.9 Promotional Offers
Promotional offers and discounts:
- Are valid only for the specified promotional period
- Cannot be combined with other offers unless explicitly stated
- May be subject to additional terms and conditions
- May be limited to new subscribers only
- May be revoked or modified at any time at our sole discretion
- Do not apply to subscription renewals unless explicitly stated
7.10 Taxes
Subscription fees do not include taxes. You are responsible for paying all applicable taxes, including sales tax, VAT, GST, or other taxes imposed by your jurisdiction. We may collect and remit taxes where required by law.
7.11 Payment Processing
Payments are processed by Stripe, Inc. By using our paid services, you also agree to Stripe's Services Agreement and Privacy Policy. We do not store your complete credit card information on our servers.
7.12 Subscription Disputes
If you dispute a charge:
- You must contact us at support@roboteamhub.com within 30 days of the charge
- Filing a chargeback or payment dispute with your bank without first attempting to resolve the issue with us may result in immediate account termination
- If a chargeback is filed and later reversed in our favor, you may be charged for any fees we incur
- We reserve the right to pursue collection of any amounts owed
7.13 Service Availability
While we strive to provide continuous service availability, you acknowledge that:
- The Service may be temporarily unavailable due to maintenance, updates, or technical issues
- We do not guarantee any specific uptime percentage or service level
- Temporary service interruptions do not entitle you to refunds or credits
- We are not liable for any losses resulting from service unavailability
- Scheduled maintenance will be communicated when reasonably possible, but emergency maintenance may occur without notice
7.14 Feature Changes
We reserve the right to modify, add, or remove features from any subscription tier at any time. You acknowledge that:
- Features may be added, modified, or discontinued without notice
- The removal or modification of features does not entitle you to refunds
- We are not obligated to maintain any particular feature for any length of time
- Beta or experimental features may be removed at any time
8. Term and Termination
8.1 Term
These Terms remain in effect while you use the Service.
8.2 Termination by You
You may terminate your account at any time by using the account deletion feature in your settings or by contacting us at support@roboteamhub.com.
8.3 Termination by Us
We may suspend or terminate your account and access to the Service at our discretion, including if:
- You violate these Terms
- Your use of the Service poses a security risk
- You engage in fraudulent or illegal activity
- We are required to do so by law
- We discontinue the Service
8.4 Effect of Termination
Upon termination:
- Your right to access and use the Service will immediately cease
- We will delete your personal information within 30 days (subject to legal retention requirements)
- You may export your data before deletion using our data export feature
- Sections of these Terms that by their nature should survive termination will remain in effect
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by law, we disclaim all warranties, including:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of content
- Warranties that defects will be corrected
We do not warrant that the Service will meet your requirements or that your use will be uninterrupted or error-free.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LUMIKRAFT AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
Our total liability to you for all claims arising out of or related to these Terms or the Service will not exceed the greater of $100 or the amount you paid us in the 12 months before the claim arose.
Some jurisdictions do not allow the limitation of certain warranties or damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Lumikraft AI LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another person or entity
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
12.2 Informal Resolution
If you have a dispute with us, you agree to first contact us at support@roboteamhub.com and attempt to resolve the dispute informally.
12.3 Jurisdiction and Venue
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in California, and you consent to personal jurisdiction and venue in such courts.
13. Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you agree to our Privacy Policy.
14. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will update the "Effective Date" at the top of this page and notify you by email or through the Service.
Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lumikraft AI LLC regarding the Service and supersede all prior agreements.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
15.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
15.5 Force Majeure
We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
15.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
15.7 Notices
We may provide notices to you via email or through the Service. You agree that electronic notices satisfy any legal requirement that notices be in writing.
